DispoLab Terms of Service

These Terms of Service ("Terms") are an agreement between you and Kopczynski Capital LLC, doing business as Northstar Homes ("DispoLab," "we," "us," or "our") governing your use of the DispoLab website and application (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The Service

DispoLab is a software tool that helps real estate wholesalers organize a cash-buyer network and match properties to buyers, and helps investors publish buy boxes and receive matching deals. The Service uses artificial intelligence to parse data and generate matches, scores, and explanations.

DispoLab is a software tool only. We are not a real estate broker, agent, attorney, or financial advisor, we are not a party to any transaction between users, and we do not guarantee any deal, match, sale, or outcome.

3. Your account

You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

4. Subscriptions, trials, and billing

Free trial. New wholesaler accounts include a 14-day free trial. No payment card is required to start the trial. At the end of the trial, continued access to paid features requires an active subscription.

Subscription. Paid access is billed on a recurring monthly basis at the then-current price (currently $9.99/month) through our payment processor, Stripe. Your subscription automatically renews each month until you cancel.

Cancellation. You may cancel at any time from your account settings or billing portal. Cancellation stops future renewals; you retain access through the end of the period you have already paid for.

Failed payments. If a payment fails, we may retry the charge and will notify you. If payment is not resolved, access to paid features may be suspended.

Price changes. We may change subscription pricing. We will provide notice of changes, and changes apply to subsequent billing periods.

Refunds. Except where required by law, fees are non-refundable. [Confirm or adjust this refund policy to match your intended practice.]

5. Your Content and the license you grant us

You retain ownership of the content you submit to the Service, including your buyer lists, buy boxes, property and deal data, and notes ("Your Content").

To operate and improve the Service, you grant DispoLab a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and use Your Content for the purposes of (a) providing the Service to you and (b) operating, maintaining, and improving the Service and its features — including its matching functionality — as described in our Privacy Policy. This license continues for content retained in the Service and survives only as needed to provide and improve the Service consistent with the Privacy Policy.

Third-party data. Some of Your Content includes information about other people (for example, the buyers a wholesaler adds to a private list). You represent and warrant that you have all rights, consents, and authority necessary to provide that information to us and to permit the uses described in these Terms and our Privacy Policy, and that doing so does not violate any law or any other person's rights.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, or in violation of any applicable law, including marketing, communications, privacy, and real estate laws (for example, laws governing email and text outreach such as CAN-SPAM and the TCPA when you contact your own buyers);
  • Upload data you do not have the right to provide, or use another user's information obtained through the Service for any purpose other than the legitimate transaction it was shared for;
  • Scrape, reverse engineer, resell, or attempt to gain unauthorized access to the Service;
  • Send spam, harass other users, or misuse the marketplace;
  • Interfere with or disrupt the Service or its infrastructure.

We may suspend or terminate accounts that violate these rules.

7. The marketplace

The Service includes a marketplace that connects wholesalers and investors. DispoLab provides the platform only; it is not a party to, and is not responsible for, any communication, agreement, or transaction between users. We do not verify users, properties, buy boxes, or deals, and we make no guarantee about the accuracy, quality, legality, or outcome of anything posted or exchanged. You are solely responsible for your own due diligence and for any transaction you enter into.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Matches, scores, and explanations generated by the Service (including by AI) are informational tools, not advice, and may be incomplete or inaccurate. They are not legal, financial, investment, tax, or real estate brokerage advice. You should independently verify all information and consult appropriate professionals before acting. We do not guarantee that the Service will be uninterrupted, error-free, or that it will result in any deal or outcome.

9. Limitation of liability

To the maximum extent permitted by law, DispoLab and its owners, employees, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, data, or business, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless DispoLab and its owners, employees, and providers from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, your violation of these Terms, or your violation of any law or any third party's rights.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination (including license terms needed to operate the Service, disclaimers, limitation of liability, and indemnification) will survive.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. [Confirm the governing-law state and any dispute-resolution terms with your attorney.]
